Executive Summary

New Waters Recovery North Carolina Fund, LP is a newly organized Delaware limited partnership (the “Fund”) formed to pursue an investment in New Waters Recovery North Carolina, LLC, a Delaware limited liability company (“New Waters

Recovery”). New Waters Recovery intends to identify, lease and upfit a facility out of which it will operate a private medical detox facility in the Raleigh-Durham region of North Carolina. The Fund’s general partner is Inveniam Healthcare, LLC, a Delaware limited liability company (the “General Partner”). The General Partner will make all management, investment and disposition decisions in respect of the Fund.

Raleigh-Durham is one of the fastest growing regions in the nation, becoming a highly competitive destination for tech startups and research-related businesses. The region is also anchored by three major research universities: North Carolina State University, Duke University, and the University of North Carolina at Chapel Hill, as well as the cities of Raleigh and Durham and the town of Chapel Hill. Additionally, Charlotte, North Carolina is only two and a half hours away, allowing ready access to the most populous market in the state.

Substance abuse and co-occurring disorders such as depression and anxiety are at the forefront of a national

health crisis facing the United States. As a result, addiction treatment has rapidly become one of the most highly sought-after subsectors of healthcare services for investment as a multitude of key tailwinds at both the macroeconomic and microeconomic level have promoted the flow of private investor dollars into the sector. At present, we are experiencing one of the largest epidemics of our generation. Over the last twenty (20) years, North Carolina has been experiencing year-over-year consistent rise in opiate deaths. With the current Covid-19 pandemic and the abrupt stop in the global economy, we are at the precipice of a second wave of mental health and substance related consequences. We are seeing a massive increase in alcohol consumption, drug use and suicidal ideation as a result of job loss, toxic family dynamics and general uncertainty of the future.

Accessibility to substance abuse treatment continues to be a major barrier for those who struggle with addiction. In particular, the lack of access to medical detox programs, which safely remove substances and stabilizes patients. Currently, there are only three residential treatment programs within two hours of the Raleigh-Durham area and zero freestanding medical detox facilities. The three programs target the lower income demographic, utilizing in-network insurance and Medicaid. Such a model focuses on high volume, resulting in lower quality of patient care.

New Waters Recovery will be a boutique facility catering to high net worth families with the ability to cash pay or utilize private insurance with out-of-network benefits. By creating a smaller high-end product, New Waters Recovery will be the resource for those who value privacy and discretion in a time of crisis.

Detox is the turning point that signals a desire and willingness to change.

IT’S THE FIRST STEP TO

TRANSFOR MING LIVES . . .

What is Detox?

Detox is the process of healing in which substances are cleansed from the body in a medical setting. The goal is to help clients end their physical dependency on drugs or alcohol so they can begin treatment with a clear mind, physical energy and renewed hope.

The detox process is imperative to ensure safety and comfort levels for people undergoing the painful, and sometimes life threatening, symptoms and potential medical complications that result from ending substance use. It also helps clients manage the severe cravings, anxiety and overall discomfort that arise from removing toxins from the body. This occurs because long-term drug or alcohol abuse creates imbalances in the brain and body that a"ect behavior, mood, logic and more. Withdrawal is part of the reason why it's so difficult to achieve sustainable recovery and the main reason why so many addicts continue to use drugs or alcohol. Once toxins are safely removed, the client will transition into a 30 day residential program.

Letter From the Founder

Detox is a turning point that signals a desire and willingness to change...

When I entered treatment in 2008 I was scared, confused and most of all hopeless. My

inability to live a productive life had become overwhelming and I truly didn't know how I got to this place. Despite growing up in a supportive and loving household with every

opportunity imaginable, somehow I had squandered it all.

I was given the opportunity to go to detox and eventually admitted to a residential

treatment program that helped me identify the self destructive patterns that became my norm. After extensive treatment and my willingness to change everything, I started on the road to recovery.

I look back at the person now and it honestly feels like a dream. It has been an incredible amount of work and continues to be a lifestyle that I live and breath everyday. It has become my calling and my reason for being on this earth. In my recovery I found my purpose and I set out to give back what was so freely given to me.

My belief is that we have very few opportunities in life to make a significant impact on

our world, this is one of those opportunities. By embarking on this journey we will have

the chance at saving thousands of lives and to change family cycles that will last for

generations to come.

Thank you for your time and

consideration, Graham Doerge
